EverRegel

Terms of Service

Last updated: October 25, 2026

Who we are

EverRegel is a local delivery dispatch service that runs over WhatsApp. EverRegel is operated by Cognito AI Solutions LLC (“EverRegel,” “we,” “us”). These terms apply to everyone who uses EverRegel: businesses that post delivery jobs (“Businesses”) and drivers who accept them (“Drivers”). By messaging our WhatsApp number or otherwise using EverRegel, you agree to these terms.

What EverRegel does

EverRegel connects Businesses that need something delivered with independent Drivers who are already making that trip. We send jobs to matching Drivers, collect prices, record who was awarded each job, and bill the Business for it. EverRegel is a technology platform. We do not ourselves pick up, carry, or deliver anything, and we are not a carrier, courier, or moving company.

EverRegel can also book a delivery for a Business with an independent third-party delivery service. The driver it sends (a “Third-Party Driver”) works for that service, not for EverRegel, and has not signed up with EverRegel. In these terms, “Drivers” means drivers who signed up with EverRegel; third-party deliveries are covered in the section below.

Eligibility and accounts

  • You must be at least 18 and able to enter a binding contract.
  • You sign up by messaging our WhatsApp number. Your WhatsApp phone number identifies your account.
  • You agree to give us accurate information and keep it up to date.
  • We may decline, suspend, or close any account at our discretion, including for misuse, non-payment, unsafe conduct, or repeated cancellations.

Service area and excluded items

EverRegel serves pickups and drop-offs within the New York tri-state area. We may decline jobs outside that area. We do not accept jobs to relocate cars or other vehicles.

Businesses may not post, and Drivers may not carry, anything illegal, hazardous, stolen, or prohibited by law, including weapons, controlled substances, or cash and cash equivalents. Businesses are responsible for packaging items safely and describing them accurately.

Posting and awarding jobs

  • A Business posts a job with a pickup, drop-off, item description, and price terms, and confirms it before it goes out.
  • A Business can set a fixed price, which the first Driver to accept wins, or a maximum price, in which case Drivers submit sealed bids that other Drivers cannot see.
  • A Driver who accepts a fixed price, or whose bid at or under the maximum is the lowest, is held for the Business for two minutes. The Business sees the Driver's name, price, phone number, and record (completed deliveries and dropped jobs) and may reject that Driver for that job. If it does not reject the Driver in that time, the job is awarded to the Driver. A bid over the maximum, or a counter-offer above a fixed price, goes to the Business to approve or decline, and is awarded when the Business approves it.
  • Once a job is awarded, the Business and Driver each receive the other's contact details, and can message each other through EverRegel, to complete the delivery.
  • Jobs go first to Drivers whose regular route or trip fits. If no Driver's route covers a job, it may be offered to all available Drivers. Jobs that are not filled may be offered to a wider set of Drivers, followed by a suggestion to raise the price. Jobs that remain unfilled may be taken down.

Third-party drivers

  • A Business can ask for a Third-Party Driver when posting a job, or accept one when EverRegel offers it for a job no Driver has taken. Third-party deliveries are single deliveries with an exact pickup and drop-off address, up to 20 driving miles apart.
  • A third-party delivery can be for right now, or for a one-hour arrival window that starts at least an hour ahead and no more than 7 days ahead. Scheduled windows cannot fall during Shabbos or Yom Tov.
  • Before booking, the Business gives and confirms the pickup and drop-off names, phone numbers, and instructions. EverRegel sends only what the Business confirmed. A booked third-party job cannot be changed; cancel it and send it again.
  • The price is all-in and shown before booking. No service fee is added and the $15 minimum does not apply. For a scheduled job, if the delivery service's price has gone up when the driver is about to be sent, the Business is asked to approve the new price; without approval the job is cancelled at no charge.
  • The Business is charged the booked price when the job is delivered. A Business may cancel free of charge until a driver is assigned. After a driver is assigned, the charge stands, including if the driver later cancels at the Business's request.
  • If no driver accepts in time, EverRegel cancels the job at no charge: 20 minutes after it is sent for a right-now job, or 30 minutes into the window for a scheduled job. If the delivery service or its driver cancels on its own, the Business is not charged.
  • The Business receives the driver's name, vehicle, and pickup time when one is assigned, and a tracking link from the delivery service. Messages are not passed between the Business and a Third-Party Driver through EverRegel.
  • Third-party deliveries are booked with a declared value of $100. EverRegel does not insure items carried by a Third-Party Driver; any claim for loss or damage is subject to the delivery service's own policies and limits. Do not send items worth more than $100 with a Third-Party Driver.

Drivers are independent

Drivers are independent contractors, not employees, agents, or partners of EverRegel or Cognito AI Solutions LLC. Drivers decide whether to accept any job, choose their own routes and hours, and use their own vehicles. Drivers are solely responsible for holding a valid driver's license, vehicle registration, and any insurance the law requires, for following traffic and other laws, and for their own taxes.

Pickup, delivery, and confirmation

The Driver marks a job as picked up and as delivered through WhatsApp or the EverRegel driver dashboard. A job marked delivered by the Driver is treated as complete for payment purposes. EverRegel does not inspect items or confirm delivery with the recipient. Businesses should raise any problem with a delivery promptly by messaging us.

Responsibility for items

The Driver who accepts a job is responsible for the items from pickup until delivery. EverRegel does not insure items and does not cover loss, theft, or damage to anything carried through the service. Any claim for lost, stolen, or damaged items is between the Business and the Driver. Businesses that need coverage for valuable items should arrange their own insurance or not send those items through EverRegel.

Payments

  • EverRegel charges Businesses a service fee on each job with a Driver, added on top of the agreed price. The service fee covers card processing and the cost of paying the Driver, and is shown as part of the Business's total before the Business confirms a job. The total is rounded up to the next whole dollar, and the service fee is the difference between that total and the agreed price. For a multi-stop run, the agreed price is the run total. For a job posted with a maximum price, it is the winning bid.
  • The minimum price for a job with a Driver is $15 for the whole delivery, including all stops on a run. It applies to fixed prices, maximum prices, bids, and counter-offers.
  • Third-party deliveries are priced as described under “Third-party drivers” and carry no service fee.
  • The Business's total is shown before a job is posted. The total and the service fee are recorded when the job is awarded and shown on the award and delivery messages. If an awarded Driver drops a job, they are recalculated on the price of the next award.
  • Businesses pay EverRegel the agreed price plus the service fee for each delivery, using the payment method we provide.
  • Businesses keep a payment card on file. By adding a card, the Business authorizes EverRegel to charge it for completed deliveries and service fees. Charges are usually made once a day, or sooner when the amount owed reaches $150. Each charge appears on the card statement as EVERREGEL and comes with an itemized statement by email. If a charge fails, the Business can't post new jobs until a working card is on file.
  • EverRegel pays Drivers for the jobs they complete. Payouts go to the Driver's PayPal or Venmo account through PayPal. Payout timing may depend on the Driver's delivery history.
  • Drivers must give us a valid PayPal or Venmo account to receive payment. Payouts that cannot be delivered or are not claimed may be returned and held until a valid account is provided.
  • Business card payments are processed by Stripe. Driver payouts are sent through PayPal. Each is subject to its own terms. We do not store full card or bank account numbers.
  • Arranging payment for an EverRegel job outside EverRegel to avoid fees is a misuse of the service and may lead to account closure.
  • Questions about a charge go to EverRegel at info@cognaai.com. EverRegel handles billing disputes and decides refunds under these terms. Nothing in this section changes “Responsibility for items.”
  • Fees may change. We will show current fees before a job is posted, and changes will not apply to jobs already awarded.

Cancellations and drops

A Business may cancel a job before pickup. A Driver may drop an awarded job before pickup, which reopens it to other Drivers. Repeated cancellations or drops may affect a user's access to the service. Charges for jobs cancelled after pickup are handled case by case.

Shabbos and Yom Tov

EverRegel does not send messages, expire offers, or run deadlines between candle lighting and havdalah on Shabbos and Yom Tov. Messages received during that time are answered afterward.

Acceptable use

You agree not to:

  • Post false, misleading, or fraudulent jobs, bids, or delivery confirmations.
  • Harass, threaten, or discriminate against other users.
  • Use EverRegel to send spam or to contact users for purposes unrelated to a job.
  • Interfere with or try to gain unauthorized access to the service.

Disclaimers

EverRegel is provided “as is” and “as available.” We do not guarantee that any job will be filled, that any Driver will be available, or that any delivery will be completed on time. Messaging depends on WhatsApp and other third-party services that we do not control.

Limitation of liability

To the fullest extent the law allows, EverRegel and Cognito AI Solutions LLC are not liable for any indirect, incidental, special, or consequential damages, or for loss of profits, revenue, goods, or data, arising from your use of the service or from the acts of any Business or Driver. Our total liability for any claim relating to a job is limited to the fees EverRegel earned on that job.

Indemnity

You agree to cover any claims, losses, and costs, including reasonable legal fees, that arise from your breach of these terms, your violation of law, or, for Drivers, your performance of a delivery.

Governing law

These terms are governed by the laws of the State of New York. Any dispute will be resolved in the state or federal courts located in Rockland County, New York.

Changes

We may update these terms. We will change the date at the top of this page, and significant changes will be communicated through the service. Continuing to use EverRegel after a change means you accept the updated terms.
